Web-Design Policy

Thank you for entrusting SomeFlowers with your web design needs. Below is our Web-Design Policy, which outlines the terms for a successful collaboration:

Agreement to this Policy:

By engaging our web-design services, you acknowledge and accept the terms outlined in this policy. These terms encompass various aspects of our partnership, ensuring a smooth and harmonious web-design journey that reflects your brand's uniqueness.

1. Scope of Work:

The Client has engaged the Designer to provide web design services as described in the project proposal and outlined in the Web-Design Policy.

2. Payment Terms:

If Designer has not received payment from Client within 10 days after the invoice due date, the designer may impose a late fee of $150.00 USD via Stripe. If Designer receives payment from the client more than 30 days after the invoice date, Designer may assess interest equal to one percent of the unpaid balance for each month, or a portion of the month the balance is unpaid. Interest accrues retroactively from the due date.

For example, Client owes Designer $3400.00 due on April 15th and fails to pay by April 25th. On April 25th, Client owes Contractor $3550.00, and so on.

2a. Additional Website Pages:

The Client acknowledges that the Web Design Package includes a specified number of web pages as outlined in the project deliverables. Any additional web pages beyond the standard number of pages will be subject to an extra fee of $250 USD per web page.

Requesting Additional Web Pages: If the Client wishes to add extra web pages to the project scope, they must submit a written request to the Designer specifying the number of additional pages required.

Approval and Payment: The Designer will review the request (via SomeFlowers questionnaire or email) and provide the Client with a revised project scope and cost estimate including the additional web pages. Upon mutual agreement between the Parties, the Client shall make payment via Stripe for the additional web pages prior to their incorporation into the project.

Incorporation of Additional Web Pages: The Designer will commence work on the additional web pages upon receipt of payment. The design and development of these pages will be completed in accordance with the project timeline and specifications.

Payment for Additional Web Pages: The fee for additional web pages is non-refundable once payment has been made. Failure to make payment for the additional web pages may result in a delay in project delivery.

2b. Deposit Policy

Initial Deposit: To secure your Website-in-a-Day session, a non-refundable deposit is required upon booking. This deposit is a commitment to our collaboration and will be applied towards the total cost of your project.

Deposit Amount and Payment: The deposit amount, as stated on your invoice, must be paid in full to confirm your VIP Day session. Payment details will be provided upon booking.

(a) The Client shall make payment for the web design services according to the following schedule:

- Payment 1: Non-refundable Deposit of $200 USD due in advance (payment goes towards final payment) to save their spot on SomeFlower's calendar.

- Payment 2: Non-refundable final Website-in-a-Day Payment due 5-7 days in advance before the Client's VIP day start date.

(b) The Client shall make payments through Stripe using Affirm/Afterpay/or Klarna, as specified by the Designer.

**Affirm, Afterpay, Klarna are available in the United States and supporting Countries.

All invoices are payable within (1) day of receipt via Stripe without charge. A service charge of 1.5 percent (or the greatest amount allowed by state law) is payable on all overdue balances. Payments will be credited first to late payment charges and next to the unpaid balance. Client shall be responsible for all collection or legal fees necessitated by lateness or default in payment.

3. VIP Day Rescheduling Policy:

Rescheduling Requests: We understand that unforeseen circumstances may arise, and we strive to accommodate reasonable rescheduling needs. If you need to reschedule your VIP Day, please notify us via email at least 14 days in advance before your VIP Day.

Rescheduling Fee: A rescheduling fee of $200 is applicable for each change of date. This fee contributes towards the overall project cost and acknowledges the adjustments required in our scheduling.

One-time Rescheduling: To maintain the integrity of our scheduling and service delivery, each client is permitted to reschedule once. Each rescheduling request must be made in accordance with the VIP Day Rescheduling Policy outlined in this Agreement. Requests for rescheduling beyond the permitted limit will not be accommodated, and the Client may forfeit their deposit or be subject to additional rescheduling fees, at the discretion of the Designer.

Notice Period: Requests for rescheduling less than 7 days before the scheduled VIP Day may incur additional charges, subject to our discretion.

4. Cancellation Policy:

In the event of cancellation by the Client, regardless of the reason, a cancellation fee will apply.

Cancellation Fee Amount: The cancellation fee shall be $300 USD.

Purpose of Cancellation Fee: The cancellation fee compensates the Designer for the time and resources allocated to the project, administrative costs, and potential lost opportunity.

Notice of Cancellation: The Client must provide written notice of cancellation to the Designer in accordance with the Cancellation Policy outlined in this Agreement.

Payment of Cancellation Fee: The cancellation fee will be due and payable within 7 days of the date of cancellation via Stripe invoice.

Refund Policy: Upon cancellation, the non-refundable deposit paid by the Client will be retained by the Designer. In the event of cancellation, any payments made by the Client, including the non-refundable deposit and fees for extra pages beyond the initial agreed-upon scope of work, will not be refunded. The cancellation fee, as outlined in the cancellation policy, will be an additional charge on top of the total amount paid by the Client.

Exceptions: In the event of extenuating circumstances such as medical emergencies or natural disasters, the cancellation fee may be waived at the discretion of the Designer. The Client must provide appropriate documentation to support their request for waiver.

5. Booking Policy:

Selection of VIP Day: Upon booking, you may select a VIP Day up to 30 days from the date of the agreement. Your preferred date is subject to availability and will be confirmed upon receipt of the deposit.

Finalization of Booking: Your VIP Day is considered booked and finalized only after the receipt of the deposit and mutual agreement on the date.

Project Initiation: Detailed planning and initiation of your project will commence once the booking is finalized.

6. Referral Code and Discount Code Policy:

Once the payment for web design services has been made in full and finalized, no referral codes or discount codes can be subtracted or applied retroactively. Clients are required to use their valid referral code or discount code, if applicable, during the checkout process before hitting the "Submit" button. Failure to do so will result in the forfeiture of any discounts or referral benefits.

We encourage clients to carefully review their order and apply any valid referral codes or discount codes before completing the payment process. Refunds or adjustments for missed discounts or referral benefits will not be provided after the payment has been processed.

By engaging our web design services and making a payment, clients acknowledge and agree to abide by this Referral Code and Discount Code Policy.

7. Legal Action:

If the Client fails to make payment for any invoice within 30 days of the due date, the Designer reserves the right to initiate legal proceedings to recover the unpaid amount. The Client shall be responsible for all legal fees and costs associated with such proceedings. Designer may refer collection of the unpaid amount to an attorney or collections agency. If the client’s unpaid invoices are referred to an attorney or collections agency, the client shall pay all reasonable attorney’s fees or collections agency fees in addition to the late fees and accrued interest.

The Designer reserves the right to take legal action to recover the outstanding amount.

8. Confidentiality:

Parties will treat and hold all information of or relating to this Agreement, the Services provided and the Parties’ businesses in strict confidence and will not use any of this information except in connection with fulfilling the terms of this Agreement, and, if this Agreement is terminated for whatever reason, Parties will return all such information, including account access information, and any and all copies to the original Party and will remain bound to the Confidentiality provision of this Agreement. Confidential information (herein “Confidential Information”) means information that is of value to its owner and is treated as proprietary or confidential including, but not limited to, intellectual property, inventions, trade secrets or information, financial data or information, speculation, knowledge, general Company data or reports, future business plans, strategies, customer lists and information, client acquisition strategies, advertising campaigns, information regarding executives and employees, and the terms and provisions of this Agreement.

Further, at all times neither Party shall use or disclose any Confidential Information relating in any way to the past, present, or future business affairs, conditions, clients, customers, efforts, employees, financial data, operations, practices, products, processes, properties, sales, or services of or relating in any way to the Company in whatever form to any parties outside of this Agreement.

This Agreement imposes no obligation upon the Parties with respect to any Confidential Information that was possessed before initial business interactions commenced between the Parties; is or becomes a matter of public knowledge through no fault of receiving Party; is rightfully received from a third party not owing a duty of confidentiality; is disclosed without a duty of confidentiality to a third party by, or with the authorization of the disclosing Party; or is independently developed by either Party without prior knowledge of privileged or confidential information. 

Designer agrees not, at any time, to disclose any Confidential Information to any person not an employee or recognized Client of the Company, nor will Designer use Confidential Information for any purpose other than as required to perform his services hereunder. Further, Designer agrees not, at any time, or in any way, to take or reproduce Confidential Information unless required by the Client for Designer to perform services hereunder. Designer will, upon the termination hereof, return to the Client all Confidential Information in his possession or under his control whether such Confidential Information.

9. Client Cooperation:

Successful completion of the project within the VIP Day timeframe relies heavily on timely and proactive client cooperation, including the provision of necessary content, feedback, and approvals.

10. Scope of Revisions:

Our goal is to create a website that aligns perfectly with your vision. In our design process, we offer one round of revisions, which includes adjustments to the layout, fonts, colors, and graphics. This round of revisions allows you to provide feedback and request changes to different sections or pages of the website. It's important to note that, as web designers, our scope of work primarily covers the visual and design elements of the site. During the revision process, any revisions or adjustments will be made solely to existing pages. This includes changes to layout, blocks, graphics, imagery, and colors on the pages originally provided. Please note that the creation of entirely new pages is not included in this revision policy. Any requests for the addition of new pages will be considered as a separate scope of work and that incurs additional charges.

10a. Fee for Additional Revisions:

Should additional revisions be requested beyond the initial round included in the scope of work, a fee of $50 USD per hour will apply. This fee covers the additional time and resources required to implement further changes.

It is our commitment to deliver a website that meets your expectations while maintaining efficiency and quality in our work. If you have any questions or concerns regarding the revision process, please don't hesitate to reach out.

11. Content Revisions:

While we're here to enhance the visual aspects of your website, content revisions, such as text changes, additions, or edits, are typically not included in this scope. We recommend finalizing your content before we begin the design process to ensure a smooth workflow. However, if there are minor text adjustments required to fit the design, we can accommodate these within reasonable limits.

12. Feedback and Timelines:

Kindly note that revision requests should be submitted within 1-2 days after receiving the initial design. To maintain our project timelines and ensure the best service for all clients, we have a strict cut-off for revision requests. Any feedback submitted after this window may not be accommodated. Thank you for understanding!

Revisions are typically completed within 2-5 business days.

We're committed to delivering a website that you'll love, and we're here to address any questions or concerns you may have throughout the process. If you have specific revision requests or questions about our scope of work, please don't hesitate to reach out.

After receiving your new website, you have a 2 day grace period to submit any revisions. Once that window closes, no further changes can be made. We believe in a swift process to keep the momentum going and bring your vision to life.

13. Website Content:

It is the client's responsibility to provide all necessary website content, including text, images, and branding elements, in a timely manner. Delays in content submission may impact the project timeline.

14. Limitation of Liability:

The liability of the Designer for any damages arising from the web design project is limited to the total project fee paid by the Client, as outlined in the Web-Design Policy.

15. Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflicts of law provisions.

16. Entire Agreement:

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, whether oral or written.
